General Provisions
These Terms and Conditions govern the relationship between you (the customer) and Wenzhou Aike Sign Co., Ltd. (the seller) in relation to the purchase of our sign products. Any transaction between us shall be based on these Terms and Conditions, and any additional agreements or modifications must be confirmed in writing by both parties.
We reserve the right to update these Terms and Conditions from time to time. The updated version will be posted on our website, and your continued use of our services after the update indicates that you accept the updated Terms and Conditions.
Order Placement and Confirmation
- When you place an order on our website or through email/phone, you need to provide accurate and complete information (such as product specifications, quantity, design requirements, shipping address, contact information). We will confirm the order details with you within 3 working days after receiving your order. The order will take effect only after both parties confirm the details and you complete the payment.
- For customized products, we will provide you with a design proof within 3-5 working days after receiving your order and payment. The production will start only after you confirm the design proof in writing (email, WeChat, etc.). If you need to modify the design, you must notify us in writing in a timely manner, and we will adjust it according to your requirements (additional fees may be incurred for major modifications).
Product Quality and Specifications
We guarantee that our products are produced in accordance with the agreed specifications, quality standards, and international certification requirements (CE, UL, RoHS, etc.). The quality of the products shall be subject to the sample confirmed by both parties before production (if any).
If you find any quality issues or inconsistencies with the agreed specifications after receiving the goods, you must notify us within the specified time (7 working days) and provide valid proof. We will handle it in accordance with the Refund and Return Policy.
Payment Terms
- Payment methods: We accept T/T (Telegraphic Transfer), L/C (Letter of Credit), PayPal, and other international payment methods. The specific payment method shall be agreed by both parties when placing the order.
- Payment ratio: For general orders, we usually require a 30% advance payment to start production, and the remaining 70% shall be paid before shipping. For large-quantity or long-term cooperative customers, the payment ratio can be negotiated separately.
- If you fail to make the payment within the agreed time, we have the right to delay production or cancel the order, and you shall bear the corresponding losses caused thereby.
Shipping and Risk Transfer
The shipping method, time, and cost shall be agreed by both parties when placing the order. The risk of loss or damage to the products shall be transferred to you when the products are delivered to the logistics company and the shipping documents are issued (in accordance with the International Rules for the Interpretation of Trade Terms – INCOTERMS).
We are not liable for any loss or damage caused by force majeure (such as natural disasters, wars, customs delays, logistics company defaults), but we will try our best to provide assistance to minimize your losses.
Intellectual Property Rights
- All intellectual property rights (trademarks, patents, designs, copyrights) of our products and website content belong to Wenzhou Aike Sign Co., Ltd. You shall not copy, reproduce, modify, or distribute our products or website content without our prior written permission.
- If you provide us with design drawings, logos, or other materials for customized products, you shall ensure that you have the legal right to use these materials and that they do not infringe the intellectual property rights of any third party. If any dispute arises due to infringement, you shall bear all legal responsibilities and compensate us for the corresponding losses.
Liability Limitation
Our liability for any loss or damage caused by our breach of these Terms and Conditions shall not exceed the total amount of the order. We shall not be liable for any indirect, incidental, or consequential losses (such as loss of profits, business interruption) caused by your use of our products or services.
Dispute Resolution
Any dispute arising from or in connection with these Terms and Conditions or the transactions between us shall be resolved through friendly negotiation between both parties first. If the negotiation fails, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its arbitration rules, and the arbitration award shall be final and binding on both parties.
Other Provisions
These Terms and Conditions shall be governed by the laws of the People’s Republic of China. If any clause of these Terms and Conditions is deemed invalid or unenforceable, the other clauses shall remain valid.
